Terms of Service ​

Welcome to RobotAgentz LLC ("RobotAgentz," "We," "Us," or "Our"). These Terms of Service ("Terms") govern your access to and use of our website at www.robotagentz.com (the "Website") and our software-as-a-service platform at cloud.robotagentz.com and api.robotagentz.com (the "Service") (collectively, the "Platform"). By accessing or using the Platform, you ("User" or "You") agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Acceptance of Terms ​

These Terms form a binding agreement between you and RobotAgentz LLC, a limited liability company registered in Oregon, USA. Using the Platform in any way signifies your acceptance of these Terms and our Privacy Policy, available at RobotAgentz Privacy Policy.

2. Service Description ​

RobotAgentz provides a cloud-based platform designed to implement low-code automation workflows, enabling users to automate tasks and processes without programming expertise. The Service is accessible via subscription and requires an internet connection. We may update or modify the Service at our discretion to improve functionality or comply with legal requirements.

3. Eligibility ​

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Platform. By using the Platform, you represent that you meet these requirements.

4. Account Registration and Security ​

4.1 Account Creation. To access the Service, you must register an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials.
4.2 Authorized Users. If you are subscribing on behalf of an organization, you may designate Authorized Users, who must also comply with these Terms.
4.3 Security. You agree to notify Us immediately at support@robotagentz.com if you suspect unauthorized access to your account. We are not liable for losses resulting from your failure to secure your account.

5. Subscription and Payment ​

5.1 Fees. Access to the Service requires payment of subscription fees as listed on the Website or in your order form. All fees are in USD and non-refundable unless otherwise stated.
5.2 Billing. You authorize RobotAgentz to charge your provided payment method for the subscription term (e.g., monthly or annually). Fees may increase with 30 days’ prior notice.
5.3 Non-Payment. We may suspend or terminate your access if payments are overdue by 30 days.

6. User Conduct and Restrictions ​

You agree not to:

  • Use the Platform for illegal activities or to harm others;
  • Upload malicious code, viruses, or content that infringes third-party rights;
  • Attempt to hack, disrupt, or overload the Platform;
  • Reproduce, sell, or distribute the Service without Our written permission;
  • Misrepresent your identity or affiliation.

7. Intellectual Property ​

7.1 Our Rights. The Platform, including all software, designs, logos, and content created by RobotAgentz, is owned by RobotAgentz LLC and protected by copyright, trademark, and other laws. You may not use Our intellectual property without prior written consent.
7.2 Your Content. You retain ownership of data or content you upload to the Service ("User Content"). You grant Us a worldwide, non-exclusive license to use, store, and process User Content to operate and enhance the Service.

8. Termination ​

8.1 By You. You may cancel your subscription by providing 30 days’ written notice via your account settings or by emailing support@robotagentz.com. No refunds will be issued for unused terms.
8.2 By Us. We may suspend or terminate your access immediately for violating these Terms, non-payment, or if We discontinue the Service (with reasonable notice).
8.3 Effect of Termination. Upon termination, your access ends, and We may delete your User Content after 30 days unless otherwise required by law.

9. Disclaimer of Warranties ​

The Platform is provided "as is" and "as available." RobotAgentz LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the Platform will be uninterrupted, error-free, or secure.

10. Limitation of Liability ​

To the fullest extent permitted by law, RobotAgentz LLC shall not be liable for indirect, incidental, or consequential damages (e.g., lost profits, data loss) arising from your use of the Platform. Our total liability shall not exceed the fees you paid Us in the 12 months prior to the claim.

11. Indemnification ​

You agree to indemnify and hold RobotAgentz LLC, its affiliates, and employees harmless from any claims, damages, or losses arising from your use of the Platform, your User Content, or your violation of these Terms.

12. Privacy ​

We handle your personal information in accordance with our Privacy Policy at RobotAgentz Privacy Policy. You are responsible for ensuring User Content complies with applicable data protection laws.

13. Governing Law and Dispute Resolution ​

These Terms are governed by the laws of the State of Oregon, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts of Lane County, Oregon. You waive any objection to this venue.

14. Changes to Terms ​

We may update these Terms periodically. The latest version will be posted at RobotAgentz Terms of Service. Your continued use of the Platform after changes constitutes acceptance of the updated Terms.
